Agreement to Terms

These Terms of Service (“Terms”) form a legally binding agreement between you (“you” or “Customer”) and Meraki Communications(“we”, “us”, or “the Company”) governing your access to and use of the CRM Portal platform, including the web dashboard, the tracker.js tracking script, the newsletter widget, and any related APIs (collectively, the “Service”).

By creating an account, embedding the tracking script, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms. If you are entering into this agreement on behalf of an organization, you represent that you have the authority to bind that organization.

If you do not agree with any part of these Terms, you must not access or use the Service.

Definitions

  • Service — the CRM Portal platform, including the dashboard, APIs, tracker.js, newsletter widget, and ad platform integrations.
  • Customer — the business or individual who registers an account and uses the Service to manage leads, analytics, and marketing.
  • Site — a tenant workspace within the Service, identified by a unique site ID, to which leads, visitors, subscribers, and ad accounts are scoped.
  • End User— a visitor or data subject who interacts with a Customer’s website, submits a form, or subscribes to a newsletter.
  • Customer Data — all data that a Customer or its End Users submit, transmit, or generate through the Service.
  • Ad Platform — a third-party advertising service such as Google Ads or Meta (Facebook) that the Service integrates with.

Accounts & Security

  • You must provide accurate and complete information when creating an admin account and keep it up to date.
  • You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
  • We strongly recommend enabling two-factor authentication, which is available for all admin accounts.
  • You are responsible for managing roles and permissions assigned to users within your sites and for ensuring that access is granted on a least-privilege basis.
  • You must notify us immediately of any unauthorized use of your account or any other security breach. We may suspend or terminate access after a confirmed breach.
  • We may progressively lock accounts after repeated failed login attempts to protect against brute-force attacks.

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right;
  • Send unsolicited, deceptive, or malicious emails, including spam, phishing, or malware;
  • Collect End User data without obtaining the legally required consent, or in violation of applicable privacy laws such as the GDPR or CCPA;
  • Upload, store, or transmit content that is unlawful, defamatory, infringing, or otherwise objectionable;
  • Attempt to gain unauthorized access to the Service, its systems, or another Customer’s data;
  • Reverse engineer, decompile, or disassemble any part of the Service, except as permitted by law;
  • Use the Service in a manner that could damage, disable, overload, or impair it, or interfere with any other party’s use;
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.

We reserve the right to suspend or terminate access for any violation of this section.

Customer Data & Responsibilities

  • You retain all right, title, and interest in your Customer Data. We process Customer Data on your behalf as a data processor to deliver the Service.
  • You are solely responsible for the accuracy, lawfulness, and quality of the Customer Data you submit, and for obtaining all necessary consents from your End Users before collecting their data.
  • You must provide End Users with a privacy policy and a consent mechanism that complies with applicable law, and you must honor opt-out and deletion requests from your End Users.
  • We will process Customer Data only as necessary to provide the Service and as described in our Privacy Policy, and we will not access, use, or disclose Customer Data except as compelled by law or as required to operate the Service.
  • Each Customer’s data is logically isolated by site ID. We do not share or mix Customer Data between tenants.
  • You may export or delete your Customer Data at any time through the dashboard or by contacting us.

Privacy

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that personal data will be collected and processed as described in the Privacy Policy.

If you operate under the GDPR, you are the controllerof your End Users’ personal data and we act as your processor. We will assist you in fulfilling your obligations regarding data subject rights, breach notification, and data protection impact assessments where required.

Subscriptions & Billing

  • Certain features of the Service may require a paid subscription. Subscription plans, pricing, and billing cycles are described on the Service or in a separate order agreement.
  • Subscription fees are billed in advance and are non-refundable except where required by law.
  • You authorize us to charge your designated payment method for all fees associated with your subscription until it is cancelled.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • We may change our fees upon reasonable notice. Fee changes do not apply to a current billing period that has already been paid.
  • We may impose usage limits (such as tracked events, email sends, or API calls) based on your plan. Exceeding these limits may result in throttling or overage charges.

API & Tracking Usage

  • We provide API keys to authenticate programmatic access to the Service. You must keep your API keys secure and must not share them publicly or embed them in client-side code, except for keys explicitly scoped to tracking-only access.
  • You are responsible for all API calls made with your keys and for any charges or usage they generate.
  • The tracker.js script and tracking endpoints are intended for first-party use on websites you control. You must not deploy them on websites you do not own or operate without permission.
  • We may rate-limit or throttle API and tracking requests to protect the stability of the Service.
  • You must not use the API to scrape, harvest, or export data in a manner that violates these Terms or applicable law.

Intellectual Property

  • The Service, including its software, design, documentation, and trademarks, is owned by us and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or proprietary information.
  • We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for the duration of your subscription, subject to these Terms.
  • You retain all intellectual property rights in your Customer Data and content.
  • You grant us a limited license to use, copy, and process your Customer Data solely as necessary to operate and improve the Service for you.
  • We may use aggregated, de-identified, anonymized data derived from the Service for analytics, benchmarking, and product improvement, provided it cannot be used to identify any individual or Customer.

  • Upon termination, your right to use the Service ceases. We will retain your Customer Data for a limited period to allow export, after which it may be deleted in accordance with our retention policies.
  • Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will remain in effect.
